1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the website and services provided by ReSocialSMM ("ReSocial", "we", "us").
By accessing our website, submitting a form, or engaging us for services, you agree to these Terms. If you do not agree, please do not use our site or services.
2. Services
ReSocial provides social media marketing services including strategy, content production, paid advertising, community management, and reporting ("Services"). The exact scope, deliverables, timelines, and fees for each engagement are defined in a separate proposal, statement of work (SOW), or service agreement signed by both parties.
If there is a conflict between these Terms and a signed SOW, the SOW prevails for that engagement.
3. Client responsibilities
To deliver the Services effectively, you agree to:
- Provide accurate information and timely feedback.
- Grant access to required accounts (social platforms, analytics, ad managers) as needed.
- Ensure you have the rights to any content, logos, or materials you provide.
- Comply with the terms of any third-party platforms we use on your behalf.
- Respond to approval requests within agreed timelines.
Delays caused by missing access, feedback, or approvals may affect timelines and do not entitle you to a refund or fee reduction.
4. Fees and payment
- Fees are set out in the applicable SOW or invoice.
- Unless otherwise agreed, invoices are due within [14] days of issue.
- Late payments may incur interest at [X]% per month and may result in suspension of Services.
- All fees are exclusive of VAT or other applicable taxes, which you are responsible for.
- Advertising spend is separate from our management fees and is billed to you or your ad account directly.
5. Term and termination

6. Intellectual property
- You retain ownership of all materials you provide.
- Upon full payment, you receive ownership of final deliverables created specifically for you (e.g. approved ad creatives, posts), unless otherwise stated.
- We retain ownership of our underlying tools, templates, frameworks, and pre-existing materials.
- We may reference the engagement in our portfolio and case studies unless you request otherwise in writing.
7. Third-party platforms
Our Services depend on platforms such as Meta, Google, LinkedIn, and TikTok. We do not control those platforms. Their policies, algorithm changes, outages, or account suspensions are outside our control. We are not liable for losses arising from platform decisions or downtime.
8. No guarantee of results
Social media performance depends on many factors, including your product, market, pricing, and platform algorithms. While we apply industry best practices and continuous optimisation, we do not guarantee specific results such as follower counts, engagement rates, leads, or revenue, unless expressly stated in a signed SOW.
9. Confidentiality
Each party agrees to keep the other's confidential information private and to use it only for the purposes of the engagement. This obligation survives termination for [3] years.
